Andrew is a partner at Torkin Manes. He heads up our Corporate Finance Group and is a member of our Business Law and Technology, Privacy & Data Management Groups. He provides counsel on transactions as well as day-to-day activities for a wide range of clients, including underwriters and issuers in public and private offerings, venture capital firms, information technology, internet security, marketing, software, healthcare, geothermal and social media companies, as well as private equity/merchant banks, secured lenders, shareholder communication and corporate governance advisory firms and many others.

His corporate experience includes the successful completion of numerous complex transactions, including share and asset acquisitions and dispositions, joint ventures, partnerships, amalgamations, loan transactions, corporate reorganizations, private equity-sponsored deals and the negotiation, drafting and settlement of commercial agreements of all description. In addition, Andrew regularly provides advice in matters related to general corporate governance and shareholder disputes. Over the past several years, Andrew has become increasingly active in the information technology space for a variety of clients.

Andrew’s securities law experience includes mandates related to public offerings, private placements, reverse takeovers, capital pool companies, public proxy battles, fairness opinions, shareholder meetings and advising investment funds. He frequently deals with Canadian securities and exchange regulatory authorities in connection with securities law matters, stock exchange listings, continuous disclosure obligations and other regulatory compliance issues.
