Spin Master completes IPO

Spin Master Corp. (Spin Master), a leading global children’s entertainment company that creates, designs, manufactures and markets a diversified portfolio of innovative toys, games, products and entertainment properties, completed its initial public offering of subordinate voting shares at a price of $18.00 per share, for total aggregate gross proceeds of approximately $253 million.

The subordinate voting shares are listed on the Toronto Stock Exchange under the symbol “TOY.” Spin Master is best known for award-winning brands including the 2015 Toy of the Year, Zoomer Dino. 

The offering was made through an underwriting group co-led by RBC Capital Markets and TD Securities Inc., and which included CIBC World Markets Inc., National Bank Financial Inc., BMO Nesbitt Burns Inc., HSBC Securities (Canada) Inc., Barclays Capital Canada Inc., GMP Securities L.P., Cormark Securities Inc. and Dundee Securities Ltd. 

Spin Master was represented internally by Christopher Harrs (Executive Vice President and General Counsel, Corporate Secretary) and an in-house team that included Karoline Hunter (Sr. Director and Associate General Counsel). Torkin Manes LLP also acted as Canadian co-counsel to Spin Master with a team that included Jeffrey Cohen and Allan Bronstein (corporate), Fay Sulley and Chaim Sapirman (banking) and Glen Eddie and Michael Hanley (executive equity arrangements).
